These Terms of Service ("Terms") constitute a legally binding agreement between you and Hubnest Inc. ("Hubnest," "we," "us," or "our") governing your access to and use of the website located at hubnest.com (the "Site") and your engagement with Hubnest as a business, including inquiries, applications, and participation in the Certified Vendor Program.
By accessing or using this Site in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use this Site or submit any information through it.
These Terms should be read alongside our Privacy Policy, which is incorporated by reference and governs how we handle personal information collected through this Site.
These Terms apply to all visitors, users, and others who access or use this Site, whether as a prospective client, prospective Certified Vendor Program partner, job applicant, or general visitor. By accessing this Site, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
These Terms govern use of this website only. They do not constitute or replace the terms of any client agreement, software license agreement, service agreement, or data processing agreement that Hubnest may enter into with clients or partners in connection with the deployment of its products. Those agreements are governed by their own terms negotiated directly between Hubnest and the relevant party.
This Site is intended for lawful business purposes only. You may use this Site to learn about Hubnest, its products and industries, its Certified Vendor Program, and its career opportunities, and to contact Hubnest through the channels provided.
You agree not to use this Site in any way that:
violates any applicable federal, provincial, or local law or regulation, including applicable Canadian privacy law;
involves unauthorized access to, interference with, or disruption of this Site or the servers and networks connected to it;
involves the use of automated tools, bots, scrapers, or crawlers to extract content or data from this Site without the express written permission of Hubnest;
involves transmitting unsolicited communications, spam, or malicious code through any contact mechanism on this Site;
involves impersonating Hubnest, any Hubnest employee or representative, or any other person or entity;

Hubnest reserves the right to suspend or terminate access to this Site for any user who violates these Terms, without notice and without liability.
All content on this Site, including but not limited to text, articles, product descriptions, logos, trademarks, graphics, and the overall look and feel of the Site, is the property of Hubnest Inc. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
Hubnest's name, logos, product names including EchoBay, Canvass, KinLog, and FlightGuard, and the Certified Vendor Program name and branding are trademarks or proprietary designations of Hubnest Inc. Nothing on this Site grants any right or license to use any Hubnest trademark, trade name, or product name without the prior written consent of Hubnest.
You may view, print, and download content from this Site for your own personal, non-commercial informational purposes only, provided you do not modify the content, remove any copyright or proprietary notices, or use the content in any way that misrepresents your relationship with Hubnest. Any other use of the content on this Site requires the prior written permission of Hubnest.

Hubnest is not obligated to treat any unsolicited ideas, suggestions, or materials submitted through this Site as confidential or proprietary.
General inquiries submitted through this Site are not subject to any confidentiality obligation on the part of Hubnest unless and until a formal non-disclosure agreement is executed between the parties. If you wish to share confidential information with Hubnest in connection with a proposed business relationship, please indicate this in your inquiry and we will discuss the appropriate next steps before any confidential information is disclosed.
Any non-disclosure or confidentiality agreement between Hubnest and a third party is a separate agreement governed by its own terms and is not created by or incorporated into these Terms of Service.
Information about Hubnest's products, including EchoBay, Canvass, KinLog, and FlightGuard, is provided on this Site for general informational purposes. Nothing on this Site constitutes an offer to sell or a binding commitment to provide any product or service. All product engagements are subject to separate written agreements negotiated between Hubnest and the relevant client or partner.
Product descriptions, capability statements, and industry applications described on this Site reflect Hubnest's general product capabilities and are not representations or warranties that any specific feature or outcome will be available in every deployment. Actual product functionality, integration scope, and performance are governed by the applicable client agreement.
Hubnest reserves the right to modify, discontinue, or add to its product portfolio at any time. The addition of new products, the modification of existing products, or the discontinuation of any product does not give rise to any claim or liability.
Information about the Hubnest Certified Vendor Program on this Site is provided for general awareness purposes. Submission of an inquiry through the Certified Vendor Program form on this Site does not constitute acceptance into the program, an offer of any business arrangement, or any binding commitment by either party.
Participation in the Certified Vendor Program is subject to Hubnest's evaluation process and is governed by a separate Certified Vendor Program agreement. The terms of that agreement, including any referral, white-label, or reseller arrangements, are negotiated directly between Hubnest and the prospective vendor partner and are not set out in these Terms of Service.
This Site and all content on it are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Hubnest disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Hubnest does not warrant that this Site will be uninterrupted, error-free, or free of viruses or other harmful components. Hubnest does not warrant the accuracy, completeness, or currentness of any content on this Site. You use this Site at your own risk.
Nothing on this Site constitutes legal, financial, regulatory, or professional advice. Hubnest is not responsible for any content, products, services, or practices of third-party websites linked to or from this Site, including the third-party services used in the operation of this Site such as Google Analytics and Cloudflare.

Any dispute arising out of or relating to these Terms or your use of this Site that cannot be resolved through good-faith negotiation between the parties will be subject to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto. You irrevocably submit to the personal jurisdiction of those courts for this purpose.
Nothing in this section limits Hubnest's right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of its intellectual property rights or other proprietary rights.
Entire agreement. These Terms, together with the Privacy Policy incorporated by reference, constitute the entire agreement between you and Hubnest with respect to your use of this Site and supersede all prior agreements, representations, and understandings relating to the same subject matter.
Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.
No waiver. Hubnest's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Hubnest.
Assignment. You may not assign or transfer any of your rights or obligations under these Terms without Hubnest's prior written consent. Hubnest may assign its rights and obligations under these Terms without restriction.
